Introduction

These Terms of Service govern your use of the Sitelab Digital website and the services we provide.

By engaging our services, subscribing to a care plan, or using our website, you agree to be bound by these terms.

2. Our Services

We provide website design, WordPress development, website redesigns, security and migration services, performance optimisation, maintenance plans, and related digital services.

The scope, deliverables, timelines, and pricing for each engagement will be agreed in writing before work begins.

We reserve the right to decline or discontinue any project or service at our discretion, provided reasonable notice is given where appropriate.

3. Proposals and Project Agreements

Project proposals and quotations remain valid for 30 days unless otherwise stated.

Work will commence only after:

  • Written acceptance of a proposal or quotation
  • Receipt of any required deposit

Any changes to an agreed scope of work must be requested in writing and may result in revised timelines or additional costs.

Verbal discussions are not binding unless confirmed in writing.

4. Payment Terms

Unless otherwise agreed in writing:

  • A 50% deposit is required before project work begins
  • The remaining balance is payable before website launch or delivery of final files

Monthly care plans are billed in advance on a recurring monthly basis.

Invoices are payable within 14 days of issue.

Late payments may incur interest at a rate of 2% per month on outstanding balances.

Sitelab Digital reserves the right to pause work, withhold deliverables, or suspend services where invoices remain unpaid for more than 30 days.

All pricing is quoted in USD unless otherwise stated. Clients are responsible for any currency conversion charges, transfer fees, or banking costs.

5. Client Responsibilities

To ensure successful project delivery, clients agree to:

  • Provide accurate and complete information
  • Supply required content, assets, and feedback in a timely manner
  • Review and approve work within agreed timeframes
  • Maintain access to hosting, domain, CMS, and related services where required
  • Ensure any content supplied does not infringe third-party rights

Clients are also encouraged to maintain current backups of their websites and data before any work is undertaken.

Delays caused by late content, feedback, or approvals may result in adjusted project timelines.

6. Intellectual Property

Upon full payment, ownership of the final website design and custom-developed project assets created specifically for your project transfers to you.

Sitelab Digital retains ownership of:

  • Internal tools
  • Frameworks
  • Methodologies
  • Processes
  • Reusable code libraries
  • Proprietary systems

Third-party plugins, themes, fonts, images, and software remain subject to their respective licensing terms.

Unless otherwise requested in writing, Sitelab Digital may display completed projects within its portfolio, case studies, and marketing materials.

We may also include a discreet website credit link, which can be removed upon request.

7. Care Plans and Ongoing Services

Website Care Plans operate on a month-to-month basis with no long-term contract.

Either party may cancel a care plan by providing 30 days written notice.

Included support time:

  • Is provided on a use-it-or-lose-it basis
  • Does not roll over between months
  • Applies only to services included within the subscribed plan

Care plans do not include major development projects, redesigns, or new page builds unless explicitly stated.

Published response times are service targets rather than guaranteed service-level commitments.

8. Revisions and Change Requests

Projects include the revision allowance specified within the proposal.

Additional revisions beyond the agreed scope may be billed separately.

A revision refers to modifications of previously approved work.

New requirements, functionality, or significant direction changes may be treated as additional scope and quoted separately.

Approval of a completed project stage is considered final. Requests to revisit approved stages may incur additional charges.

9. Timelines and Delivery

Estimated timelines are provided in good faith and depend on project complexity, client responsiveness, and third-party services.

Sitelab Digital is not responsible for delays resulting from:

  • Late client feedback
  • Delayed content delivery
  • Third-party service interruptions
  • Hosting or platform-related issues

Projects inactive for more than 60 days due to lack of client communication may be archived. Reactivation may incur an administration fee.

10. Warranties and Disclaimers

Sitelab Digital will provide services with reasonable skill, care, and professional standards.

However, we do not guarantee:

  • Continuous website availability
  • Error-free operation
  • Specific search engine rankings
  • Traffic increases
  • Lead generation results
  • Business outcomes

Websites rely on third-party hosting, software, and infrastructure outside our control.

Third-party plugins, themes, and services are governed by their own warranties and limitations.

Services are provided on an “as is” basis except where warranties are expressly stated.

11. Limitation of Liability

To the maximum extent permitted by law, Sitelab Digital’s liability for any claim arising from our services shall not exceed the amount paid for the specific service giving rise to the claim.

We are not liable for:

  • Loss of profits
  • Loss of revenue
  • Loss of business opportunities
  • Data loss or corruption
  • Indirect or consequential damages
  • Failures caused by third-party providers
  • Events outside our reasonable control

Nothing in these terms limits liability that cannot legally be excluded.

12. Confidentiality

Both parties agree to treat confidential information received during a project as private and confidential.

This obligation does not apply to information that:

  • Is publicly available
  • Was already known by the receiving party
  • Must be disclosed by law

Sitelab Digital will not disclose client information except where necessary to deliver agreed services or where legally required.

13. Termination

Either party may terminate a project engagement by providing 14 days written notice.

Upon termination:

  • Clients remain responsible for payment of work completed to date
  • Deposits remain non-refundable once work has commenced
  • Completed deliverables will be supplied upon receipt of final payment

Sitelab Digital may terminate services immediately in cases involving unlawful, abusive, fraudulent, or harmful conduct.

14. Dispute Resolution

If a dispute arises, both parties agree to first attempt resolution through direct communication and good-faith negotiation.

Where resolution cannot be reached, disputes shall be governed by the laws of the Republic of South Africa and subject to the jurisdiction of South African courts.

Nothing in these terms prevents either party from seeking urgent legal relief where necessary.

15. Acceptable Use

Clients may not use Sitelab Digital services to create, host, promote, or distribute:

  • Illegal content
  • Fraudulent schemes
  • Spam or phishing campaigns
  • Malware or malicious software
  • Intellectual property infringements
  • Harassing, abusive, or discriminatory content

We reserve the right to refuse or discontinue services where these requirements are breached.

16. Changes to These Terms

We may update these Terms of Service from time to time.

Updated versions will be published on our website together with a revised effective date.

Continued use of our services following publication of updated terms constitutes acceptance of those changes.

Where material changes affect existing clients, we will provide reasonable notice.

17. General Provisions

These terms constitute the entire agreement between Sitelab Digital and the client regarding the services provided.

If any provision is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Failure to enforce any provision does not constitute a waiver of future enforcement rights.

Clients may not assign or transfer their rights under these terms without written consent.
